By accessing or using the CiteLayer platform and all related services (collectively, the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you do not agree with any provision of these Terms, you must immediately cease using the Service.

These Terms constitute a legally binding agreement between you ("User") and CiteLayer ("Company," "we," "us," or "our"). Your use of the Service is also governed by our Privacy Policy, which is incorporated by reference into these Terms.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Beschreibung des Dienstes

CiteLayer is an AI-powered Generative Engine Optimization (GEO) analysis platform that provides the following services:

(a) URL Analysis & 10-Dimension GEO Scoring — Automated analysis of web pages across 10 key dimensions including Crawlability, Indexability, Content Clarity, Extractability, Entity Completeness, Structured Answer Readiness, FAQ Readiness, Freshness, Authority & Trust, and Cross-Market Readiness.

(b) AI-Generated Optimization Assets — Automatically generated titles, summaries, FAQs, structured data (JSON-LD), and cross-market content optimized for AI search engines including ChatGPT, Gemini, Claude, Perplexity, and Chinese LLMs.

(c) Batch URL Analysis — Bulk analysis of up to 50 URLs per batch for professional and enterprise users.

(d) Bot & AI Crawler Detection — Upload and analysis of server access logs (Apache, Nginx, JSON, YAML, CSV) to identify AI crawlers and monitor bot activity.

(e) URL Tracking & Scheduled Monitoring — Continuous tracking of URLs with automated re-analysis at configurable intervals (6 hours, daily, weekly, monthly).

(f) PDF & JSON Report Generation — Downloadable analysis reports for sharing and archival.

(g) Multi-Model Analysis — Analysis using different AI model tiers (Flash-Lite, Flash, Pro) powered by Google Gemini.

(h) Industry-Specific Optimization — Tailored optimization templates for Finance, E-commerce, Gaming, Travel, F&B, and Entertainment verticals.

(i) Enterprise API Access — RESTful API endpoints for system integration and automated workflows.

(j) Advanced Strategy Analysis — Signal-to-noise ratio analysis, 5W1H entity extraction, semantic word net expansion, and virtual JSON-LD generation.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. Kontoregistrierung und -verwaltung

To access certain features of the Service, you must register for an account. When registering, you agree to:

(a) Provide accurate, current, and complete information.

(b) Maintain and promptly update your account information.

(c) Maintain the security and confidentiality of your login credentials.

(d) Accept responsibility for all activities that occur under your account.

(e) Notify us immediately of any unauthorized use of your account.

You must be at least 18 years of age to create an account and use the Service. We reserve the right to suspend or terminate accounts that violate these Terms or that contain inaccurate information.

4. Servicepläne und Abrechnung

The Service offers multiple subscription tiers:

(a) Free Plan — Limited monthly URL analyses with basic scoring features.

(b) Pro Plan — Enhanced quotas (500 analyses/month), advanced GenAI outputs, full 10-dimension analysis, batch analysis, bot detection, PDF reports, and priority email support.

(c) Enterprise Plan — Maximum capacity (1,000 analyses/month), API access, white-label reports, SSO & team management, industry-specific optimization, and a dedicated account manager.

All paid subscriptions are processed through Stripe, Inc. and are billed in US Dollars (USD). Subscriptions automatically renew at the end of each billing cycle unless cancelled. Annual plans are billed upfront at a discounted rate.

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. Refunds for annual plans may be issued for unused full months at our discretion. No refunds are provided for partial months or for the Free plan.

5. Kostenlose Testversion und Kontingente

The Free plan provides a limited number of URL analyses per month. Once your quota is exhausted, analysis features will be paused until the next billing cycle or until you upgrade your plan.

Quota limits are subject to change. Any changes to quota limits will not retroactively affect analyses already performed. We reserve the right to modify or discontinue the Free plan at any time.

6. Richtlinie zur akzeptablen Nutzung

You agree not to:

(a) Use the Service for any unlawful, fraudulent, or malicious purpose.

(b) Submit URLs to websites that you do not own or have authorization to analyze.

(c) Submit URLs containing illegal, harmful, defamatory, or infringing content.

(d) Attempt to circumvent, disable, or interfere with usage limits, rate limiting, or security features.

(e) Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying algorithms of the Service.

(f) Scrape, crawl, or use automated means to access the Service beyond the provided API.

(g) Resell, sublicense, or redistribute the Service or any generated content without authorization.

(h) Introduce viruses, malware, or any harmful code to the Service.

(i) Impersonate any person or entity or misrepresent your affiliation.

(j) Use the Service to generate spam, phishing content, or misleading materials.

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without notice or refund.

7. Geistiges Eigentum

All intellectual property rights in the Service, including but not limited to the platform software, algorithms, scoring methodologies, machine learning models, user interface designs, trademarks, and documentation, are and shall remain the exclusive property of CiteLayer.

Analysis results and AI-generated optimization assets (titles, summaries, FAQs, structured data) produced for your analyzed URLs are licensed to you for your own use. This license is non-exclusive, non-transferable, and may be revoked upon termination of your account.

You retain all ownership rights to the URLs and content you submit for analysis. By submitting content for analysis, you grant us a limited, non-exclusive license to process, analyze, and store such content solely for the purpose of providing the Service.

8. Benutzergenerierte Inhalte

When you upload server access logs, submit URLs for analysis, or provide any other content to the Service, you represent and warrant that:

(a) You have all necessary rights and permissions to submit such content.

(b) The content does not infringe upon the intellectual property rights or privacy rights of any third party.

(c) The content does not violate any applicable laws or regulations.

You are solely responsible for the content you submit. We do not pre-screen or monitor user submissions but reserve the right to remove any content that violates these Terms.

9. Drittanbieterdienste

The Service integrates with and relies upon the following third-party services:

(a) Supabase — Database hosting, authentication, and data storage.

(b) Stripe — Payment processing and subscription management.

(c) Google (Gemini API, Google Auth) — AI analysis engine and authentication provider.

(d) Vercel — Application hosting and deployment.

Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for any disruption, data loss, or other issues arising from third-party service outages or changes.

We do not endorse, warrant, or assume responsibility for any third-party services, products, or websites linked from or integrated with our Service.

10. Datensicherheit

We implement commercially reasonable security measures to protect your data, including:

(a) Row Level Security (RLS) policies in our PostgreSQL database ensuring complete data isolation between users.

(b) Encrypted authentication tokens via Supabase Auth.

(c) HTTPS encryption for all data in transit.

(d) Regular security audits and updates.

While we strive to protect your data, no method of electronic storage or transmission over the Internet is 100% secure. We cannot guarantee absolute security of your data.

11. Dienstverfügbarkeit und Unterbrechungen

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

(a) Scheduled maintenance (with advance notice when possible).

(b) Emergency maintenance or security patches.

(c) Third-party service outages beyond our control.

(d) Force majeure events including natural disasters, war, government actions, pandemic, or other circumstances beyond our reasonable control.

We shall not be liable for any loss or damage resulting from Service interruptions or unavailability.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE SPECIFICALLY DISCLAIM ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

AI-generated analysis results, scores, and optimization recommendations are provided for informational purposes only and do not constitute professional SEO, marketing, or legal advice. The accuracy and effectiveness of AI-generated content may vary, and we make no guarantees regarding search engine ranking improvements or AI citation outcomes.

We do not warrant that the Service will meet your requirements, that results obtained will be accurate or reliable, or that any errors in the Service will be corrected.

13. Haftungsbeschränkung

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CITELAYER, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM:

(a) Your access to or use of, or inability to access or use, the Service.

(b) Any conduct or content of any third party on the Service.

(c) Any content obtained from the Service.

(d) Unauthorized access, use, or alteration of your transmissions or content.

OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (I) THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (II) ONE HUNDRED US DOLLARS (USD $100).

14. Freistellung

You agree to defend, indemnify, and hold harmless CiteLayer and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, actions, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

(a) Your use of the Service.

(b) Your violation of these Terms.

(c) Your violation of any third-party rights, including intellectual property or privacy rights.

(d) Any content you submit to the Service.

15. Änderungen der Bedingungen

We reserve the right to modify these Terms at any time. When we make material changes, we will:

(a) Update the "Last updated" date at the top of these Terms.

(b) Notify registered users via email or through the Service interface.

Your continued use of the Service after the effective date of any modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Service and may request deletion of your account.

16. Anwendbares Recht und Gerichtsstand

These Terms shall be governed by and construed in accordance with the laws of the Republic of China (Taiwan), without regard to its conflict of laws provisions.

Any disputes arising from or relating to these Terms or the Service shall be submitted to the exclusive jurisdiction of the Taiwan Taipei District Court (臺灣臺北地方法院) as the court of first instance.

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
